Dissolved federal corporation: check whether revival is available and prepare Form 15
Confirm status and purpose, establish the applicant’s direct interest, attach evidence and regularize obligations after the revival certificate.
A dissolved corporation is not merely inactive. Check before signing contracts, selling assets, starting proceedings or receiving payment in its name.
Confirm dissolution
Check the federal search, certificate and reason for dissolution. A provincial corporation, non-profit or Quebec registration cancellation uses a different process.
Establish the purpose
Revival may support ongoing business, dealing with an earlier asset or participating in proceedings. Explain why a new corporation would not solve the situation.
Prepare the application
An interested person with a direct relationship signs the articles. Include the cover letter, supporting evidence, a Nuans report when required and the non-refundable fee.
Regularize after approval
Update directors, registered office, individuals with significant control and annual returns. Also check tax obligations and provincial registrations.
