Analyze parties and transaction, calculate current thresholds, coordinate complete filings, pay fees and do not close early.

Thresholds and rules change and restructuring does not necessarily avoid notification. Premature closing can lead to orders and penalties.
Confirm the scope
Map the buyer, target, affiliates, assets, revenue, control, transaction structure and schedule.
Prepare the information
Apply current party-size and transaction-size thresholds and check exemptions and serial acquisitions.
Complete the process
Prepare each party’s forms and certificates, strategic records, lists, translations and fee payment.
Keep follow-up records
File through the Unit, calculate the waiting period and address any supplementary request before closing.
